1. About LoanaBid

LoanaBid is a digital product developed and operated by LD Groupe Digital Inc. ("LD Digital", "we", "us", or "our"), a technology company incorporated in the Province of Quebec, Canada, with its principal offices in Montreal, Quebec. LD Digital is a software development and artificial intelligence firm dedicated to engineering innovative digital solutions for the lending market.

LoanaBid is an online lead generation marketplace that connects individuals seeking financing ("Borrowers") with licensed financial institutions, private lenders, and specialty financing providers (collectively, "Lenders") through a technology-powered platform. The Platform operates across two complementary service streams:

  • Live Lead Feed: A real-time marketplace where Lenders browse published borrower leads, pay a per-lead access fee to unlock full contact details, and compete on a first-come, first-served basis.
  • Smart Match Engine (SME): An AI-assisted matching system that automatically identifies and notifies Lenders when a newly published lead matches their pre-configured lending criteria — including vehicle type, province, income range, credit profile, and repair type.

LoanaBid currently serves Borrowers seeking auto-repair financing — loans to cover the cost of vehicle repairs at licensed repair facilities. The Platform is being expanded to include truck repair financing and additional specialty lending verticals in subsequent phases.

2. Acceptance of Terms

By accessing or using the LoanaBid platform (the "Platform"), submitting a loan application, registering as a Lender, accessing a lead, configuring Smart Match criteria, or otherwise interacting with any part of the Platform, you confirm that you have read, understood, and agree to be bound by these Terms and Conditions ("Terms") and our Privacy Policy, which is incorporated herein by reference.

If you do not agree to these Terms, you must not use the Platform. Your continued use of the Platform after any changes to these Terms constitutes acceptance of the revised Terms.

3. Eligibility & Geographic Restrictions

The Platform is available exclusively to residents and businesses located in the following Canadian provinces: Ontario (ON), British Columbia (BC), Alberta (AB), Manitoba (MB), and Saskatchewan (SK).

The Platform does not serve Borrowers or Lenders located in the Province of Quebec. Although LD Groupe Digital Inc. is incorporated in Quebec, the LoanaBid platform is operated exclusively for clients outside of Quebec. Any application or registration originating from a Quebec address will not be accepted.

To use the Platform as a Borrower, you must:

  • Be a Canadian resident or citizen, permanent resident, or hold valid Canadian residency status;
  • Reside in one of the eligible provinces listed above;
  • Provide accurate and truthful information in your loan application.

To use the Platform as a Lender, you must be a duly licensed financial institution, lending company, or individual investor authorized to provide loans in the province(s) you select during registration. By registering, you represent and warrant that you hold all required licenses and regulatory approvals in your operating provinces.

The Platform operates in English only. All communications, agreements, and platform interfaces are in English.

4. Nature of the Platform

LoanaBid is a lead generation marketplace and technology platform. It is not a bank, lender, loan broker, financial advisor, credit bureau, or financial institution of any kind.

We do not:

  • Lend money or extend credit to any party;
  • Act as a loan broker or intermediary in any loan transaction;
  • Perform credit checks, credit inquiries, or credit assessments of any kind — neither soft nor hard inquiries — on any Borrower;
  • Collect or review financial documents, bank statements, pay stubs, tax returns, or Social Insurance Numbers (SINs);
  • Guarantee that any Borrower will receive a loan or that any Lender will fund an application;
  • Provide financial, legal, or investment advice of any kind.

LoanaBid provides a technology platform where Borrowers self-report their financing request information and Lenders access verified leads through a transparent, fee-based marketplace. Lenders may discover leads through the Live Feed or receive automated Smart Match notifications when a lead aligns with their criteria. All lending decisions, credit assessments, document collection, due diligence, and loan underwriting are conducted exclusively by Lenders and are entirely outside the scope of LoanaBid's services.

5. Borrower Terms

5.1 Accuracy of Information

By submitting a loan application on LoanaBid, you represent and warrant that all information you provide — including your name, contact details, province of residence, residency status, income range, estimated credit score, and loan request details — is accurate, complete, and truthful to the best of your knowledge. Submission of false or misleading information may result in permanent removal from the Platform.

5.2 Consent to Share Your Information

By submitting an application and accepting these Terms, you explicitly consent to LoanaBid sharing your personal and financing request information with Lenders as follows:

  • Lead Access: When a Lender pays the access fee to review your lead, your full contact details and application information are shared with that Lender exclusively for the duration of their review window, so they may contact you directly to proceed with the financing process.
  • Smart Match Notifications: Your anonymized application data (province, vehicle type, repair type, income range, and credit estimate) may be shared with Lenders whose Smart Match criteria align with your profile. This allows qualifying Lenders to be notified of your lead before accessing your full details.
  • Unmatched Applications: If your application is not accessed by any Lender within a reasonable period, LoanaBid reserves the right to share your application information with one or more Lenders who may be able to assist you. You consent to this broader sharing under these circumstances.

LoanaBid does not sell your information to data brokers or unrelated third parties. Information is shared solely for the purpose of connecting you with potential financing providers.

5.3 No Credit Check

LoanaBid does not perform any credit inquiry on your behalf. The credit score estimate you provide in your application is self-reported and is used solely to help Lenders determine their interest in your application. LoanaBid makes no representation regarding the accuracy of self-reported credit information.

5.4 No Guarantee of Funding

Matching with a Lender on LoanaBid does not constitute a loan approval or any commitment to lend. Loan approval, terms, interest rates, and conditions are determined solely by the Lender through their own underwriting and compliance processes. LoanaBid has no role in and assumes no responsibility for the outcome of any lending discussion between a Borrower and a Lender.

5.5 Free for Borrowers

The LoanaBid platform is entirely free of charge for Borrowers. No fees, commissions, or charges of any kind are collected from Borrowers at any point.

6. Lender Terms

6.1 Account Registration

To access the LoanaBid lead feed, Lenders must register an account and be approved by LoanaBid. Registration requires submission of company information and applicable lending license numbers. LoanaBid reserves the right to approve, reject, suspend, or terminate any Lender account at its sole discretion.

6.2 Lead Access Fee

LoanaBid operates on a per-lead access fee model. Each published lead carries an access fee set by LoanaBid administration based on the lead's quality tier, province, and financing type. When a Lender chooses to access a lead, they pay the access fee and receive an exclusive review window (default: 48 business hours) during which no other Lender may access the same lead. Access fees are non-refundable once a lead has been accessed, except as otherwise provided in these Terms or a separate Lender agreement. The access fee for each lead is clearly displayed in the Live Feed before any payment is made.

6.3 Review Window and Lead Outcomes

During the exclusive review window, the accessing Lender must report one of the following outcomes through their LoanaBid account portal:

  • Funded: The loan was successfully extended to the Borrower. A Funding Match Fee applies (see section 6.4).
  • Declined: The Lender reviewed the Borrower's file and chose not to proceed. The lead is released back to the Live Feed for other Lenders.

Failure to report an outcome before the review window expires may result in suspension of the Lender's feed access pending administrative review.

6.4 Funding Match Fee

The Funding Match Fee is a platform success fee charged when a financing provider successfully funds a borrower opportunity originating through LoanaBid. The fee supports the operation of the platform, including infrastructure, technology, borrower acquisition, Smart Match notifications, administration, and ongoing platform services. The Funding Match Fee rate and applicable cap are established in the Lender's agreement with LoanaBid and may vary based on the Lender's lending volume, type of lending, and contractual terms. The current rate applicable to each Lender is displayed in their account portal.

6.5 Invoicing and Payment

Lenders receive monthly invoices for lead access fees and applicable Funding Match Fees. Invoices are due on receipt. Late payment may result in temporary suspension of feed access and additional late fees as communicated in the Lender's account. LoanaBid reserves the right to pursue collection of unpaid amounts.

6.6 Lead Quality and Conduct

LoanaBid provides verified leads with borrower-submitted information. Lenders are solely responsible for conducting their own due diligence, credit checks, document collection, and compliance review before making any financing decision. LoanaBid makes no warranty regarding the accuracy of Borrower-submitted information or the creditworthiness of any Borrower.

Lenders must treat all matched Borrowers with professionalism and in compliance with all applicable federal and provincial laws, including consumer protection and anti-discrimination legislation. Any abusive, fraudulent, or non-compliant conduct toward Borrowers may result in immediate account termination.

7. Smart Match Engine

7.1 What Is Smart Match

The Smart Match Engine ("SME") is an AI-assisted feature available to registered Lenders. It automatically evaluates newly published leads against a Lender's pre-configured criteria — including financing vertical (e.g., auto-repair, truck repair), province, minimum income range, credit score estimate, and match score threshold — and notifies the Lender in real time when a qualifying lead is published.

7.2 Smart Match Notifications

When a lead matches a Lender's SME configuration at or above the configured match score threshold, the Lender receives a notification through one or more of their selected channels (in-app, email, or SMS). Smart Match notifications are informational only — they do not constitute a reservation, hold, or exclusive right to the lead. The lead remains accessible to any Lender in the Live Feed until one Lender pays the access fee.

7.3 Match Score Disclaimer

The Smart Match score is a computed estimate based solely on the information submitted by the Borrower and the Lender's configured criteria. It is not a credit assessment, risk rating, or underwriting opinion. LoanaBid makes no representation as to the accuracy, completeness, or reliability of any match score. Lenders must conduct their own independent due diligence before making any financing decision.

7.4 Lender Responsibility for SME Configuration

Lenders are solely responsible for the accuracy and appropriateness of their SME configuration. LoanaBid is not liable for missed leads resulting from overly restrictive criteria, nor for leads accessed as a result of criteria that were inadvertently too broad. Lenders may update their SME configuration at any time through their account portal.

8. Auto-Repair Financing Program

8.1 Program Description

LoanaBid's Auto-Repair Financing Program allows Canadian residents in eligible provinces to submit a request for financing to cover the cost of vehicle repairs performed by a licensed automotive repair facility. Borrowers submit a multi-step intake form disclosing their vehicle information (year, make, model), repair type, estimated financing amount, employment status, monthly income range, and credit score estimate. No credit inquiry is performed by LoanaBid at any stage.

8.2 Eligible Repair Types

The program covers a broad range of vehicle repair categories, including but not limited to: engine and transmission repairs, brake and suspension systems, electrical and diagnostic work, collision and bodywork, HVAC and climate systems, and general mechanical maintenance. The Borrower is responsible for accurately identifying the repair type at the time of application. LoanaBid does not verify or validate repair estimates, invoices, or repair scope.

8.3 No Affiliation with Repair Shops

LoanaBid has no affiliation, partnership, or commercial relationship with any automotive repair facility. The Platform does not endorse or recommend any specific repair shop. Financing provided through Lenders connected via LoanaBid is subject solely to the terms agreed between the Borrower and the Lender.

8.4 Upcoming Verticals

LoanaBid is actively developing additional financing verticals, including Truck Repair Financing for commercial vehicle operators and fleet owners. When these verticals launch, they will be governed by these Terms and any supplemental terms published at that time. Lenders who wish to participate in upcoming verticals may pre-configure their Smart Match Engine preferences in advance.

9. Prohibited Conduct

Users of the Platform must not:

  • Provide false, misleading, or fraudulent information;
  • Attempt to circumvent the Platform's auction system, including colluding with other Lenders on bid amounts;
  • Use the Platform to solicit, collect, or misuse Borrower information for any purpose other than legitimate lending;
  • Engage in automated scraping, crawling, or data extraction from the Platform;
  • Interfere with or disrupt the Platform's infrastructure, security, or other users' access;
  • Use the Platform for any unlawful purpose or in violation of any applicable Canadian federal or provincial law;
  • Impersonate any person or entity or misrepresent your affiliation with any entity.

Violation of these prohibitions may result in immediate account suspension or termination, and LoanaBid reserves the right to pursue all available legal remedies.

10. Intellectual Property

All content, software, technology, trademarks, logos, designs, and materials on the Platform are the exclusive property of LD Groupe Digital Inc. or its licensors and are protected under Canadian and international intellectual property laws. You may not reproduce, distribute, modify, or create derivative works of any Platform content without our prior written consent.

11. Disclaimer of Warranties

The Platform is provided on an "as is" and "as available" basis without any warranties of any kind, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. LoanaBid does not warrant that the Platform will be uninterrupted, error-free, or free of viruses or other harmful components.

LoanaBid does not guarantee that any Borrower will receive a loan, that any Lender will successfully acquire a funded lead, or that any particular outcome will result from using the Platform.

12. Limitation of Liability

LoanaBid is a technology platform. We connect Borrowers and Lenders — we do not control what happens between them, and we are not responsible for the outcome of any loan discussion, loan decision, or loan transaction.

To the fullest extent permitted by law, LD Groupe Digital Inc. is not responsible for any losses, damages, or claims arising from:

  • How a Lender treats a Borrower, or vice versa;
  • A loan being approved, denied, or cancelled;
  • Inaccurate information submitted by a Borrower;
  • Any technical issue, downtime, or interruption of the Platform;
  • Any loss of data, opportunity, or revenue related to use of the Platform.

If, despite the above, LoanaBid is found legally liable for anything, the maximum amount we can be required to pay any single party is limited to the total fees that party paid to LoanaBid in the 12 months before the claim — or $500 CAD, whichever is higher.

13. Third-Party Disputes

LoanaBid is a technology marketplace and acts solely as a platform connecting Borrowers and Lenders. Any dispute, claim, or disagreement arising between a Borrower and a Lender — including but not limited to loan terms, loan approvals or rejections, interest rates, collection practices, or any other aspect of the lending relationship — is solely between those parties. LoanaBid is not a party to any loan agreement and assumes no responsibility or liability for any such disputes.

We encourage all parties to seek independent legal or financial advice in connection with any loan transaction.

14. Modifications to These Terms

LoanaBid reserves the right to modify these Terms at any time. Changes will be posted on this page with an updated effective date. For material changes, we will make reasonable efforts to notify registered users via email. Your continued use of the Platform after changes are posted constitutes your acceptance of the revised Terms.

15. Governing Law & Language

These Terms are governed by and construed in accordance with the laws of the Province of Quebec and the applicable federal laws of Canada, without regard to conflict of law principles. Any legal proceedings arising from or relating to these Terms shall be brought exclusively in the courts of the Province of Quebec.

The authoritative version of these Terms and all Platform communications is in English. The Platform does not offer services in French and is not subject to the Charter of the French Language in respect of its services to clients outside Quebec.
